What are the key reasons why codes of ethics fail?

Most codes fail because they raise unrealistic expectations or they try to control too much. Codes that require excessive reporting and tracking can produce cynicism within the organization and among the public. The pursuit of absolute integrity can be a fool's pursuit if the result is organizational ineffectiveness.

While the law is a formally set and enforced concept, ethics are more flexible, typically being enforced by one's own personal moral compass. For something to be 'ethical' it will adhere to a set of codes or values determined by typical human perception of what is right (ethical), or wrong, (unethical).

The laws set minimum standards of ethical behavior. Ethical people go beyond the laws. Although ethical people always try to be law-abiding, there may be instances where their sense of ethics tells them it is best not to follow the law. The intended purpose of many laws may be to uphold the ethical right; however, ethics and law sometimes conflict because laws can be unethical and what is right may be against the law. This is especially true when the creator of the law is morally corrupt.

There are actions that are legally right but morally wrong; there are actions that are morally right but illegal; and then, there are also more or less wide areas of regulations where the legal and the moral coincide. So it's not correct to say, for example, abortion is morally wrong because it is against the law.
